Privacy Policy & Terms of Service

1. General Terms

• Web Partner Solutions will start work on a project after receiving written confirmation, approval, purchase order, or any other confirmation mutually agreed with the client.
• Unless a different payment arrangement has been agreed in writing, the full agreed project amount is payable before development work begins.
• Domain registration, hosting, APIs, premium themes, plugins, software licenses, third-party services, and other external costs are not included unless they are clearly mentioned in the project proposal or quotation.
• Payments made for development work, third-party services, domain names, hosting, licenses, or other project expenses are normally non-refundable, except where the agreed refund or cancellation terms specifically provide otherwise.
• Depending on the project, a project manager or designated team member may be assigned to coordinate with the client. The client is expected to provide the required information, content, approvals, and feedback on time.
• Website maintenance, updates, ongoing support, additional development, and future changes are charged separately unless they are specifically included in the agreed project scope.
• The project start and completion dates will be estimated based on the agreed scope and the availability of the information and materials required to complete the work.
• The client is responsible for providing all necessary text, images, videos, product details, business information, login credentials, and other materials required for the project.
• If the client delays providing content, approvals, feedback, access, or other required information, the project completion date may also be delayed.
• Any feature, change, or work requested outside the approved scope will be considered additional work and may involve additional charges.

2. Changes to the Website and Services

Web Partner Solutions may make changes to the Website or services when reasonably necessary, including:

• Updating, modifying, suspending, or temporarily or permanently discontinuing any part of the Website or services.
• Updating these Terms and Conditions from time to time.
• If you continue using the Website or services after the Terms and Conditions have been updated, it will be considered your acceptance of the revised terms.

3. Website Design and Development

• Web Partner Solutions will make reasonable efforts to complete the website and development work according to the requirements agreed with the client.
• We will also make reasonable efforts to ensure that the delivered website is functional and does not contain major known errors at the time of delivery.
• However, we cannot guarantee that a website will always be completely free from bugs, errors, interruptions, downtime, or technical issues.
• Until all outstanding project payments have been received, ownership and/or usage rights to the website, source code, graphics, designs, and development work may remain with Web Partner Solutions, unless otherwise agreed in writing.
• Once full payment has been received, the client will receive the deliverables that are specifically included in the agreed project scope, subject to any applicable third-party licenses or restrictions.
• The client is responsible for ensuring that any images, text, videos, logos, product information, data, or other materials supplied by them can legally be used. Web Partner Solutions is not responsible for copyright, trademark, intellectual-property, or other legal issues related to client-supplied materials.
• Requests for additional features, changes, or modifications outside the approved scope may be accepted at the discretion of Web Partner Solutions and may be charged separately.
• Any free or complimentary revisions offered by Web Partner Solutions are provided at our discretion and should not be considered an agreement to provide unlimited revisions.
• Web Partner Solutions will not be responsible for indirect losses such as loss of business, profits, revenue, opportunities, or other similar losses resulting from the use, malfunction, downtime, modification, or unavailability of the Website.
• We are also not responsible for problems caused by third-party hosting companies, domain providers, APIs, payment gateways, plugins, themes, software providers, servers, internet service providers, or other external services.

4. Database, Application and E-Commerce Development

• Websites, web applications, databases, and e-commerce systems are provided on an "AS IS" and "AS AVAILABLE" basis to the extent permitted by applicable law.
• Web Partner Solutions will make reasonable efforts to build the system according to the approved requirements. However, uninterrupted or completely error-free operation cannot be guaranteed.
• We cannot guarantee that every technical issue or defect will always be identified or resolved immediately.
• Third-party APIs, payment gateways, hosting services, marketplace integrations, plugins, themes, and other external technologies may experience downtime, changes, restrictions, or failures that are outside our control.
• Web Partner Solutions will not be responsible for indirect, incidental, special, or consequential losses, including loss of business, revenue, profits, customers, data, opportunities, or transactions resulting from the use or inability to use the website or application.
• The client is responsible for maintaining suitable backups of their website, application, business data, and content unless a separate backup or maintenance service has been agreed in writing.

5. Client Content and Responsibilities

• The client is fully responsible for all content and information supplied for use on the Website, including text, photographs, graphics, videos, product information, customer information, software, music, audio, and other materials.
• The Website and services must not be used for illegal activities or in violation of applicable local, national, or international laws.
• The client is responsible for ensuring that their products, services, business activities, content, and website practices comply with all applicable laws and regulations.
• The client should maintain regular backups of important website content and business data.
• Web Partner Solutions is not responsible for data that is lost or cannot be recovered due to circumstances outside our reasonable control, including hosting or server failures, third-party service failures, hacking, malware, or other unforeseen technical problems.
• The client is responsible for providing any legally required notices, policies, disclosures, warnings, and other information relating to their business.
• Any financial, payment, customer, transaction, or other sensitive business information submitted through the Website remains the responsibility of the website or business owner.
• Web Partner Solutions is not responsible for fraudulent, illegal, unauthorized, or misleading activities or content created or submitted by the client or the client's users.

6. Payment of Accounts

• Depending on the project, an advance or deposit may be required before development begins.
• Project payments must be made according to the payment schedule mentioned in the approved proposal or invoice, unless another arrangement has been agreed in writing.
• Domain registration, hosting, APIs, premium plugins, themes, licenses, third-party software, and other external services may need to be paid for in advance.
• Any outstanding invoice should be paid within the payment period mentioned on the invoice.
• If payments remain outstanding, Web Partner Solutions may temporarily suspend development, support, website access, hosting-related services, or other project services until the outstanding amount has been cleared.
• Domain and hosting renewal fees must be paid before the relevant expiration date.
• If renewal fees are not paid and a domain or hosting service expires, Web Partner Solutions will not be responsible for suspension, deletion, data loss, or service interruption caused by the relevant provider.

7. Refunds and Cancellation

• Development fees and third-party service charges are generally non-refundable once development work or the purchase of external services has started.
• A cancellation request may be considered within seven (7) days from the invoice date, subject to the cancellation terms agreed in the project proposal.
• Where the project qualifies for a refund under the agreed cancellation terms, up to 50% of the amount paid may be refunded.
• Amounts paid for domain registration, hosting, APIs, third-party licenses, premium themes, plugins, software, or other services that have already been purchased or activated for the project are non-refundable.
• Once the project has been completed and delivered according to the agreed scope, a refund will not be provided because of dissatisfaction with requirements, features, or services that were not part of the original approved scope.

8. Third-Party Services

• To provide certain features, Web Partner Solutions may use third-party services such as APIs, hosting providers, payment gateways, plugins, themes, libraries, marketplace platforms, software, or other external technologies.
• These third-party services operate under their own terms, pricing, policies, availability, and limitations.
• Web Partner Solutions cannot be held responsible for changes, price increases, service suspension, discontinuation, downtime, API limitations, security incidents, or technical failures caused by third-party providers.
• Any additional fees charged by third-party providers will be the responsibility of the client unless those costs were specifically included in the agreed project quotation.

9. Business, Transactions and Post-Launch Responsibility

Once the Website or application has been completed and made live, the website/business owner is responsible for managing and operating their business.

This responsibility includes, but is not limited to:

• Business operations and business decisions.
• Products and services offered through the Website.
• Customer communication and customer disputes.
• Orders, bookings, subscriptions, and other business transactions.
• Payment transactions and payment-related disputes.
• Fraudulent transactions or activities carried out by customers or users.
• Refunds, cancellations, chargebacks, and customer claims.
• Compliance with applicable laws and regulations.
• Taxes, licenses, registrations, and other required business permissions.
• The accuracy and legality of business information and content.

Web Partner Solutions will not be responsible for business losses, fraud, customer disputes, failed transactions, loss of revenue, loss of profits, or other business risks that occur after the Website has been launched, except where the loss is directly caused by a proven breach of an express contractual obligation by Web Partner Solutions.

10. Intellectual Property

• Content provided by the client remains the property of the client or its respective owner.
• Third-party themes, plugins, libraries, images, fonts, APIs, software, and other licensed materials remain subject to their respective licenses and terms.
• Custom development work created specifically for the client will be transferred or licensed according to the terms stated in the approved proposal or agreement and only after full payment has been received.
• Web Partner Solutions may continue to use general development frameworks, reusable code, libraries, tools, techniques, and components that are not uniquely created for the client.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Web Partner Solutions will not be responsible for indirect, incidental, special, consequential, or business-related losses, including loss of profits, revenue, customers, data, business opportunities, or reputation.

Where legally applicable, the total liability of Web Partner Solutions will be limited to the amount actually paid by the client for the specific service that gave rise to the claim, unless applicable law requires otherwise.

12. Severance

If any part of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court or competent authority, that provision will be changed or removed only to the extent necessary. The remaining provisions will continue to remain valid and enforceable.

13. Acceptance

By approving the project proposal, making a payment, providing written confirmation, or allowing development work to begin, the client confirms that they have read, understood, and accepted these Terms and Conditions of Web Partner Solutions.

These Terms and Conditions form part of the agreement between Web Partner Solutions and the client unless different terms have been specifically agreed in writing.
